GENERAL TERMS AND CONDITIONS OF SALE – CONSUMERS

Last updated: August 2023

1. Seller identity: POLAR QUEST, a simplified joint-stock company with share capital of €5,000, whose registered office is located at 263 rue de l'Emporey, 38113 Veurey-Voroize, registered with the Grenoble Trade and Companies Register under number 827 709 486, VAT number FR 56827709486 (“Polar Quest”). For any information relating to the performance of these GTC, Polar Quest’s contact details are: info@inlandsis.fr; 263 rue de l'Emporey, 38113 Veurey-Voroize.

2. Application of the conditions: These general terms and conditions of sale (the “GTC”) apply without restriction or reservation to any order for Products (defined below in Article 4 of the GTC) placed with Polar Quest by a consumer or non-professional buyer, as defined by the preliminary article of the French Consumer Code (the “Customer”).

Polar Quest and the Customer may be referred to individually as a “Party” and collectively as the “Parties” in the General Terms and Conditions of Sale.

The GTC are intended to define the reciprocal rights and obligations of the Parties in connection with the conclusion and performance of the order.

The GTC apply to the exclusion of all other conditions, unless otherwise expressly agreed in writing beforehand. The applicable GTC are those in force on the date the order is placed.

The fact that a Party does not invoke any of the provisions of these GTC may not be interpreted as a waiver of its right to invoke them at a later date.

These GTC, together with the related price list and catalogue, are available to the Customer at any time on the Polar Quest website at www.inlandsis.fr (the “Site”).

They apply to orders and deliveries of Products made from May 1, 2023. For orders shipped to a country other than mainland France, the Customer is the importer of the relevant Product(s). Any local taxes and duties that may be payable shall be borne by, and be the sole responsibility of, the Customer.

Pursuant to Article 1127-1 of the French Civil Code, Polar Quest ensures the storage and reproduction of the GTC.

3. Pre-contractual information: The Customer receives, in a legible and comprehensible manner, the information required under Articles L.111-1 et seq. and L.221-5 of the French Consumer Code before placing an order, in particular through the GTC. The Customer acknowledges having received, read and accepted the GTC without reservation at the time of the Order Confirmation (as defined in Article 7 of the GTC).

The General Terms and Conditions of Sale are therefore enforceable against the Customer in accordance with the provisions of Article 1119 of the Civil Code.

4. Products: The Products comprise all products for harnessed canine sports marketed by Polar Quest under the INLANDSIS® brand and listed in the catalog shown on the Site (the “Products”). Packaging and packing are an integral part of the Products.

The Customer acknowledges having read, before placing any order, the description of each Product ordered appearing in the catalogue.

Product offers are subject to availability.

5. Prices: Product prices are stated in euros, excluding taxes and any duties or fees (in particular, shipping costs), based on the price list available on the Site and in force on the date of the order.

6. Value-added tax: Orders for Products placed via the website www.inlandsis.fr are subject to value-added tax (VAT) at the rate legally in force on the date of the Order Confirmation.

7. Order: For any purchase of Products on the Site, the Customer must create or log into their customer account.

The order is validly formed and processed by Polar Quest once the Customer has completed the steps below:

  • The Customer has added the Product(s) to their cart;
  • After checking their cart, the Customer has confirmed their order;
  • The Customer has logged into their customer account or created their customer account;
  • The Customer has confirmed their delivery address and billing address;
  • The Customer has chosen their delivery method (Colissimo pickup point or home delivery against signature);
  • The Customer has read and accepted the General Terms and Conditions of Sale without reservation;
  • The Customer has made the payment.

Upon receipt of the order, Polar Quest sends the Customer a confirmation email (the “Order Confirmation”). Orders placed by the Customer become final only upon receipt of the confirmation email issued by Polar Quest.

From the time Polar Quest issues the Order Confirmation, the Customer is deemed to have knowingly and unreservedly accepted the prices, volumes, and quantities offered for sale and ordered, as well as these General Terms and Conditions of Sale in their entirety.

8. Modification, suspension, or cancellation of the order: Any request to modify, suspend, or cancel the Customer’s order once it has become final is subject to Polar Quest’s prior written acceptance.

9. Payment for the order: The following payment methods may be used:

  • Bank card
  • American Express
  • PayPal account

By clicking “pay,” the Customer confirms that they are the holder of the payment method and are legally entitled to use it.

The order amount is charged to the Customer’s card when the order is confirmed by Polar Quest.

10. Delivery times: The delivery times indicated on the Site when placing the order are estimates.

However, the Products will be delivered within a maximum of five (5) business days.

Deliveries are handled by an independent carrier to the address provided by the Customer when placing the order and to which the carrier can easily gain access.

The Customer therefore acknowledges that delivery is the carrier's responsibility and has no warranty claim against Polar Quest in the event of non-delivery of the transported goods.

11. Delivery of the Products: The Customer may choose the delivery location for the Products: either delivery to a pickup point or home delivery against signature.

Delivery costs are payable by the Customer in accordance with the price information published on the Site under the “Delivery and Returns” section.

12. Transfer of ownership: Ownership of the Products, in favor of the Customer, will be transferred only after the Customer has paid the full price, regardless of the date of delivery of the Products.

13. Statutory right of withdrawal and return policy: The Customer has a withdrawal period of 30 days from delivery of the order.

The withdrawal period begins on the date of delivery of the Products, namely the date of delivery against signature at the Customer's home or the date of deposit at the pickup point chosen by the Customer.

The Customer must send Polar Quest the standard withdrawal form provided upon delivery of the Product(s), to the following address: 263 rue de l'Emporey, 38113, Veurey-Voroize.

The Customer will be refunded the full amount paid, together with the delivery costs, within fourteen (14) days from the date on which Polar Quest is informed of the Customer's decision to withdraw. Return shipping costs remain the Customer's responsibility.

Polar Quest will issue the refund using the same payment method as the one used by the Customer for the purchase.

The delivered Products must be returned to Polar Quest within 30 days from the date of delivery of the Products.

Only Products packaged in their original packaging and in perfect condition may be eligible for a refund.

Incomplete, stained, damaged, or soiled Products cannot be returned or refunded.

If a Product does not meet the return conditions indicated above, Polar Quest reserves the right to return the Product to the address provided by the Customer when validating the order.

14. Liability: Polar Quest shall not be held liable for any defect attributable to the transportation of the Products.

Its liability under these Terms shall not be incurred if the failure to perform its obligations is attributable to a third party, the Customer’s fault, or a force majeure event as defined by Article 1218 of the French Civil Code (defined below in Article 18 of the General Terms and Conditions of Sale).

15. Statutory warranties for hidden defects and conformity: The Customer benefits from the statutory conformity warranty (Articles L. 217-3 to L. 217-20 of the French Consumer Code) and the statutory warranty relating to defects in the item sold (Articles 1641 to 1649 and 2232 of the French Civil Code).

Polar Quest undertakes to deliver goods that conform to the contractual description and to the criteria set out in Article L. 217-5 of the French Consumer Code.

Lack-of-conformity defects that appear within twenty-four months of delivery of the Products are presumed, unless proven otherwise, to have existed at the time of delivery.

In the event of a lack of conformity, the Customer may require the Products delivered to be brought into conformity by repair or replacement or, failing that, request a price reduction or rescission of the sale, under the conditions provided by law.

The Customer may also suspend payment of all or part of the price or the provision of the benefit stipulated in the contract until Polar Quest has fulfilled its obligations under the statutory conformity warranty, under the conditions set out in Articles 1219 and 1220 of the French Civil Code.

The Customer must request that Polar Quest bring the Products into conformity, choosing between repair and replacement. The goods must be brought into conformity within a period not exceeding thirty days following the Customer’s request.

Repair or replacement of the non-conforming Product includes, where applicable, its removal and collection, as well as installation of the Product brought into conformity or replaced.

Any Product brought into conformity under the statutory conformity warranty benefits from a six-month extension of that warranty.

In the event of replacement of the non-conforming Product where, despite the Customer’s choice, Polar Quest has not carried out the remedy, the replacement gives the Customer the benefit of a new statutory conformity warranty period, beginning on delivery of the replacement Product.

If the requested remedy is impossible or entails disproportionate costs under the conditions set out in Article L 217-12 of the French Consumer Code, Polar Quest may refuse it. If the conditions set out in Article L 217-12 of the French Consumer Code are not met, the Customer may, after serving formal notice, seek specific performance of the remedy initially requested, in accordance with Article 1221 et seq. of the French Civil Code.

The Customer may finally demand a price reduction or rescission of the sale (unless the lack of conformity is minor) in the cases provided for in Article L. 217-14 of the French Consumer Code.

When the lack of conformity is so serious that it justifies a price reduction or immediate rescission of the sale, the Customer is not required to request repair or replacement of the non-conforming Product beforehand.

The price reduction is proportional to the difference between the value of the delivered Product and the value of that item in the absence of the lack of conformity.

In the event of rescission of the sale, the Customer will be refunded the price paid upon returning the non-conforming Products to Polar Quest, at Polar Quest's expense.

The refund will be issued upon receipt of the non-conforming Product or proof of its return by the Customer and no later than the following fourteen days, using the same means of payment as that used by the Customer for payment, unless the Customer expressly agrees otherwise, and in any event at no additional cost.

The foregoing provisions are without prejudice to any award of damages to the Customer for the loss suffered by the latter as a result of the lack of conformity.

Polar Quest is liable for hidden defects under the statutory warranty against hidden defects arising from a defect in materials, design, or manufacture affecting the delivered products and rendering them unfit for use.

The Customer may elect to invoke the warranty against hidden defects in the Products in accordance with Article 1641 of the French Civil Code; in that case, they may choose between rescission of the sale or a reduction in the sale price in accordance with Article 1644 of the French Civil Code.

16. Intellectual property: The Customer expressly acknowledges the intellectual property rights exclusively held by Polar Quest, including names, registered trademarks, logos, designs and models, domain names, etc. (the “Intellectual Property Rights”).

Any reproduction or representation of these Intellectual Property Rights must receive Polar Quest's prior written approval. The Customer undertakes not to register or have registered any Intellectual Property Right that could create a risk of confusion with the Products and/or trademarks owned by Polar Quest.

The Customer must promptly inform Polar Quest of any infringement, unfair conduct, counterfeiting act, or any complaint or proceeding relating to the Products or to Polar Quest's trademarks and/or any Intellectual Property Right, and must provide Polar Quest with all information in their possession in this regard.

17. Personal data protection: In the context of the relationship between Polar Quest and the Customer for the sale of the Products, Polar Quest—as the data controller—collects and processes the following personal data:

  • Account creation: first name, last name, email address, date of birth, telephone number, billing and delivery address, password
  • Login and payment: login, usage, location, and financial data relating to the Customer's bank account or credit card

The Customer is informed that the personal data concerning them collected in connection with orders are processed under the responsibility of Polar Quest and are strictly necessary for managing the contractual and commercial relationship between the Customer and Polar Quest.

Polar Quest may also contact the Customer again to inform them of news, promotions or dedicated offers, and to respond to any request or complaint from the Customer. The Customer is reminded that they may object to this when their data are collected and at any time when communications are sent.

In accordance with applicable regulations, and in particular Law No. 78-17 of January 6, 1978, as amended, and European Regulation No. 2016/679 on the protection of personal data (GDPR), the Customer is informed that they have the right to access, rectify and object, as well as the right to define directives concerning the fate of their data after their death.

The Customer also has the right to withdraw their consent at any time when the processing of their personal data is based on consent, the right to data portability, and the right to request the restriction of certain processing of personal data.

The Customer has the right to register free of charge on the telephone canvassing opt-out list with Bloctel, in accordance with Article L.223-1 et seq. of the French Consumer Code.

The Customer may exercise their rights by email at the following address: contact@inlandsis.fr, or by post at the following address: 263 rue de l'Emporey, 38113, Veurey-Voroize.

If, after contacting Polar Quest, the Customer believes that their rights are not being respected, they also have the right to submit a complaint to the CNIL.

18. Suspension of obligations and termination clause: In the event that a Party fails to comply with any of its obligations under the T&Cs, the other Party may automatically suspend the performance of its obligations (in particular delivery) and/or immediately terminate the sale, without prejudice to any potential damages.

19. Force Majeure: In the event of a force majeure event, as defined under Article 1218 of the French Civil Code and French case law (the “Force Majeure”), the affected Party shall inform the other Party. The obligations of Polar Quest and the Customer shall be suspended in the event of Force Majeure for as long as these circumstances continue. If the Force Majeure event continues beyond a period of 30 days, the obligations arising from the sale and the T&Cs may be terminated automatically at the request of either party, without any formalities and without either Party being entitled to claim any damages.

20. Applicable law: These GTC, as well as the acts arising therefrom, are governed by French law.

They are drafted in French.

21. Amicable dispute resolution: Pursuant to Article L.612-1 of the French Consumer Code, every consumer has the right to refer a dispute with a professional, free of charge, to a consumer mediator for amicable resolution.

Only complaints relating to orders and the GTC will be considered.

Within one year of the Customer’s request to Polar Quest, pursuant to Articles L.616-1 and R.616-1 of the French Consumer Code, the Customer may have their request reviewed by a mediator whose details are: L'Association des Médiateurs Européens, acting in its capacity as the consumer mediation entity AME Conso, located at 197 Boulevard Saint-Germain, 75007 Paris. The consumer mediator must be contacted:

  • or by completing the form provided for this purpose on the AME CONSO website: www.mediationconso-ame.com ;
  • either by post sent to AME CONSO, 197 Boulevard Saint-Germain - 75007 PARIS.

Furthermore, pursuant to Article R.616-2 of the French Consumer Code and in accordance with Article 14.1 of Regulation (EU) No. 524/2013 of the European Parliament and of the Council of 21 May 2013, the Customer may access the online dispute resolution platform (ODR) via the following electronic link.

The Customer may, at their own expense, be assisted by counsel.

22. Dispute and competent jurisdiction: In the event of a dispute relating to the formation, conclusion, validation, interpretation, performance, or termination of the relationship between the Customer and Polar Quest, the Customer shall first contact Polar Quest in order to seek an amicable solution, notwithstanding the Customer’s right to resort to an alternative dispute resolution method or conventional mediation proceedings.

If the dispute cannot be resolved amicably, in accordance with Article R.631-3 of the French Consumer Code, jurisdiction shall lie either with the courts having territorial jurisdiction under the French Code of Civil Procedure or with the courts of the place where the Customer resided when the contract was concluded or when the damaging event occurred.

23. Severability: If one or more provisions of the GTC were deemed unlawful or invalid, such unlawfulness or invalidity would not render the other provisions of the GTC unlawful or invalid, and they would remain applicable.

GENERAL TERMS AND CONDITIONS OF SALE – PROFESSIONAL BUYERS

Last updated: August 2023

1. Seller identity: POLAR QUEST, a simplified joint-stock company with capital of €5,000, whose registered office is located at 263 rue de l'Emporey, 38113 Veurey-Voroize, registered with the Grenoble Trade and Companies Register under number B 827 709 486, VAT number: FR 56827709486 (“Polar Quest”).

2. Application of the conditions: These general terms and conditions of sale (the “General Terms and Conditions of Sale”) apply to all orders for Products (defined below in Article 3 of the General Terms and Conditions of Sale) placed with Polar Quest by a professional (the “Customer”), meaning an individual or legal entity acting for purposes falling within the scope of their commercial, industrial, craft, professional, or agricultural activity, intended to be transported and then resold to end customers in the Territory.

Polar Quest and the Customer may be referred to individually as a “Party” and collectively as the “Parties” in the General Terms and Conditions of Sale.

The General Terms and Conditions of Sale apply to the exclusion of all other terms and conditions and prevail, where applicable, over any other conflicting document issued by the Customer. Any derogation from the General Terms and Conditions of Sale must be subject to Polar Quest’s prior, express, and written acceptance.

Polar Quest’s failure to invoke any provision of these General Terms and Conditions of Sale may not be interpreted as a waiver of its right to invoke it subsequently.

These General Terms and Conditions of Sale, together with the related price list and catalogue, may be consulted by the Customer at any time on the Polar Quest website accessible at www.inlandsis.fr (the “Website”); the Customer declares and acknowledges having read them and accepts them without reservation. They apply to orders and deliveries of Products carried out in France (the “Territory”) from August 1, 2023.

Polar Quest reserves the right to modify its General Terms and Conditions of Sale, price list, and catalogue at any time, subject to one (1) month's notice from the publication on the Website of an information notice relating to these modifications.

3. Products: Products comprise all products for harnessed canine sports marketed by Polar Quest under the INLANDSIS® brand and listed in the catalogue appearing on the Website (the “Products”). Packaging and containers form an integral part of the Products. The Customer may market and promote the Products only under the names and designations appearing in the catalogue, to the exclusion of all others.

The Customer acknowledges having read, before placing any order, the description of each Product ordered appearing in the catalogue.

4. Exclusivity: The ordering and sale of Products do not entail the granting by Polar Quest of any exclusivity to the Client.

5. Prices: Product prices are set either in euros excluding taxes or in a currency excluding all duties or costs (particularly transport costs), based on the price list available on the Site and in force on the order date. The Client is entirely free and solely responsible for setting its resale prices and commercial terms. Polar Quest therefore cannot be asked to compensate for any loss of the Client's margin resulting from its resale pricing policy.

6. Placing the order: Any order for Products is placed on the Site directly by the Client from their customer account.

Upon receipt of the order, Polar Quest checks whether it can be fulfilled. If so, Polar Quest sends the Client a confirmation email. Orders placed by the Client become final only upon receipt of Polar Quest's order confirmation email. From the time Polar Quest confirms the order, the Client is deemed to have knowingly and unreservedly accepted the prices, volumes, and quantities offered for sale and ordered, as well as these General Terms and Conditions in their entirety. The benefit of the order is personal to the Client and may not be assigned without Polar Quest's prior written consent.

7. Modification, suspension, cancellation of the order: Any request by the Client to modify, suspend, or cancel an order that has become final is subject to Polar Quest's express written acceptance. In the absence of such agreement, Polar Quest shall be entitled to demand performance of the order and full payment of the amounts specified in that order.

8. Payment: The following payment methods may be used:

  • Bank card
  • Bank transfer

Unless otherwise agreed in writing between the Parties, payment must be made by the Client no later than thirty (30) days after the invoice date. All costs related to payment shall be borne exclusively by the Client. Any total or partial late payment on the invoice due date shall automatically and without prior formal notice result in late-payment penalties equal to 10% of the unpaid amount excluding taxes, it being specified that this penalty may not be less than three times the statutory interest rate, and may, at Polar Quest's sole discretion, result in the immediate suspension of any further delivery until full payment of all outstanding amounts, late-payment penalties, and collection costs.

In addition to late-payment penalties, the Customer shall pay Polar Quest a fixed compensation of 40 euros for collection costs, without prejudice to any additional compensation if the collection costs incurred exceed this amount. In this regard, it is specified that collection through legal proceedings shall incur a fixed surcharge of 15% of the amount of the disputed claim.

Except in cases of legal set-off, the Customer may not set off any amounts owed by the Customer to Polar Quest for the sale of the Products against any other amount that Polar Quest may owe the Customer on any grounds whatsoever, including, in particular, penalties of any kind, without Polar Quest's prior written consent.

If the Customer remains liable for amounts arising from several invoices, payments shall be applied first to the oldest invoices.

Any deterioration in the Customer's creditworthiness may also justify requiring guarantees or advance payment before executing the orders received.

9. Estimated Delivery Times: The delivery times stated on the Site when the order is placed are indicative only. No delay in delivery may justify the cancellation of an order, a claim for damages, or the withholding of payment or imposition of penalties.

10. Receipt of the Goods: Without prejudice to any measures to be taken with regard to the carrier, upon receipt of the goods, the Customer shall carry out or arrange for a quantitative and qualitative inspection of the Products and, in the event of damage or non-conformity, shall send Polar Quest all reservations in writing and/or by email (to the address provided when the order was confirmed) within 2 business days following delivery, accompanied by supporting evidence:

  • if these reservations are submitted within this period, justified, and accepted by Polar Quest, the latter shall, at its sole discretion, (i) either replace the Products ordered, or (ii) refund the price of the Products;
  • in the absence of a justified reservation submitted within this period, the goods shall be deemed to conform to the order and to have been properly delivered.

11. Storage of the Products: In order to preserve the quality of the Products, the Customer undertakes to handle and store them under appropriate conditions for their commercialization.

12. Disclaimer: Polar Quest shall not be held liable for any defect attributable to the transport, storage, or handling of the Products by the Customer.

13. Latent Defects: In the event that a Product affected by a latent defect is marketed, the Customer undertakes to inform Polar Quest, which may, where applicable, decide to replace or refund the Product concerned, to the exclusion of any damages.

14. Product Safety: In the event that an end customer encounters any problem caused by a defective Product, the Customer undertakes to promptly inform Polar Quest.

15. Retention of Title: Polar Quest retains title to the delivered goods until the price has been paid in full, including principal, costs and ancillary charges. Accordingly, Polar Quest is entitled to claim ownership of the Products in the event of any failure to pay.

Accordingly, the Customer undertakes to keep the Products in stock under conditions ensuring that the delivered Products do not deteriorate, and to keep separately identified the Products delivered but not yet paid for. The Customer must not pledge the Products or assign ownership of them as security.

16. Conditions for the Sale of the Products: The Customer undertakes to actively, continuously and effectively offer, sell and promote the Products. In this respect, the Customer undertakes in particular to (i) present the Products faithfully to their brand image and in an environment conducive to sales, (ii) ensure that the Products are accessible to end customers, and (iii) use, wherever possible, the promotional materials made available by Polar Quest.

In addition, the Customer undertakes to offer the Products for sale without changing their nature, packaging, presentation or wrapping, whether by alteration, removal or addition, except where required by law or regulation. Where applicable, the Customer shall inform Polar Quest in advance.

It is further expressly agreed that the Customer must not market or offer the Products for sale on any online marketplace (including, in particular, Amazon, Cdiscount, eBay, Rakuten or any equivalent platform), unless otherwise agreed in writing and in advance by Polar Quest. Any breach of this prohibition constitutes a serious breach of these General Terms and Conditions of Sale and may result, at Polar Quest’s discretion, in the suspension of deliveries and/or the immediate termination of the business relationship, without prejudice to any claim for damages.

17. Intellectual Property: The Customer expressly acknowledges the exclusive rights held solely by Polar Quest in respect of all intellectual property rights relating to the Products, including names, registered trademarks, logos, designs and models, domain names, … (the “Intellectual Property Rights”). Polar Quest grants the Customer a right to use these Intellectual Property Rights strictly for the purposes of identifying, reselling and promoting the Products.

Any reproduction or representation of these Intellectual Property Rights must receive Polar Quest's prior written approval. The Customer undertakes not to register or have registered any Intellectual Property Right that could create a risk of confusion with the Products and/or trademarks owned by Polar Quest.

The Customer must inform Polar Quest without delay of any infringement, unfair conduct, act of counterfeiting, or any complaint or proceeding relating to the Products or to Polar Quest's trademarks and/or any Intellectual Property Right, in the Territory, and must provide Polar Quest with all information in its possession in this regard.

Polar Quest alone will decide whether to bring an infringement action, which will be pursued at its sole expense, risk, and benefit, with the Customer assisting Polar Quest in these proceedings in the best interests of Polar Quest.

18. Personal data protection: In the context of the relationship between Polar Quest and the Customer for the sale of the Products, Polar Quest—as the data controller—collects and processes personal data relating to its contacts at the Customer (« Customer Contacts »). This personal data is processed for the purposes of managing the contractual relationship, to perform the contract to which the Customer is a party, and for marketing purposes, unless the Customer objects, on the basis of Polar Quest's legitimate interest in communicating about its Products and developing and maintaining its relationship with the Customer.

The personal data of Customer Contacts will be disclosed to Polar Quest's authorized personnel and to Polar Quest's service providers involved in the sale of the Products, particularly those responsible for handling and transportation.

The personal data of Customer Contacts will be retained for 2 years from the end of the contractual relationship.

Customer Contacts have the right to access, rectify, and erase the personal data concerning them, as well as the right to data portability for the data provided by the Customer Contacts, subject to the conditions set out in personal data protection regulations for exercising these rights. Customer Contacts also have the right to define directives concerning the fate of their personal data after their death and to request restriction of the processing concerning them.

Customer Contacts may also object at any time to receiving promotional offers.

Customer Contacts may exercise their rights with Polar Quest by writing to the following address: contact@inlandsis.fr

The Client Contacts are also informed of the possibility of lodging a complaint with the competent personal data protection authority, in France, the CNIL.

In the context of the relationship between Polar Quest and the Client for the sale of the Products, the Client—as the data controller—collects and processes personal data relating to its contacts from Polar Quest personnel (“Polar Quest Contacts”). This personal data is processed exclusively for the purpose of managing the contractual relationship and solely for the performance of the contract.

The personal data of the Polar Quest Contacts shall be disclosed only to the Client's authorized personnel and service providers involved in the sale of the Products.

The personal data of the Polar Quest Contacts shall be stored securely by the Client and deleted by the Client at the end of the contractual relationship.

The Polar Quest Contacts have the right to access, rectify and erase the personal data concerning them, as well as the right to data portability, subject to the conditions provided for by personal data protection regulations for exercising these rights. The Polar Quest Contacts also have the right to define directives concerning what happens to their personal data after their death and to request restriction of the processing concerning them.

The Client shall provide the Polar Quest Contacts with an email address and telephone number dedicated to the exercise of their rights relating to the processing of their personal data and, more generally, to any question or complaint relating to such processing.

The Client undertakes to handle these requests with care and diligence.

In the event of a security breach, personal data breach, and/or an inspection by the CNIL at the Client's premises, the Client undertakes to inform Polar Quest within forty-eight (48) hours by contacting Polar Quest at the following address: contact@inlandsis.fr.

19. Compliance with laws: The Client shall obtain and bear full responsibility for all permits, licenses, authorizations, taxes and duties required for the importation, storage, promotion and sale of the Products. Before placing any order, the Client shall inform Polar Quest of any legal or regulatory requirements of the State of the territory of destination of the Products relating to the Products (in particular, any requirements relating to importation, packaging and food safety), and shall bear sole responsibility for marketing the Products in the event of failure to comply with such legal or regulatory requirements.

20. Suspension of obligations and termination clause: If the Customer fails to fulfill any of its obligations under the General Terms and Conditions of Sale, Polar Quest may automatically suspend the performance of its obligations (in particular, delivery) and/or immediately terminate the sale, without prejudice to any potential damages.

21. Force majeure: In the event of force majeure, as defined under Article 1218 of the French Civil Code and French case law (the “Force Majeure”), the affected Party shall inform the other Party. The obligations of Polar Quest and the Customer shall be suspended in the event of Force Majeure for as long as these circumstances persist. If the Force Majeure event continues beyond a period of 30 days, the obligations arising from the sale and the General Terms and Conditions of Sale may be terminated automatically at the request of either Party, without any formalities and without either Party being entitled to claim any damages.

22. Applicable law: These General Terms and Conditions of Sale, as well as any acts resulting therefrom, are governed by French law.

23. Competent jurisdiction: In the event of any difficulty relating to the validity, interpretation, or performance of these General Terms and Conditions of Sale and the consequences thereof, Polar Quest and the Customer shall first seek an amicable solution. If no amicable resolution is reached despite the efforts undertaken, any dispute relating to the validity, interpretation, or performance of these General Terms and Conditions of Sale and the consequences thereof shall be subject to the exclusive jurisdiction of the Paris Commercial Court, including in the event of third-party claims or multiple defendants.

24. Notice: Any formal notice must be sent by registered mail with acknowledgment of receipt to the registered office address of Polar Quest or the Customer.

25. Partial invalidity: If one or more provisions of the General Terms and Conditions of Sale are deemed unlawful or void, such unlawfulness or invalidity shall not render the other provisions of the General Terms and Conditions of Sale unlawful or void, and they shall remain applicable.

26. Contract language: Only the French version of the General Terms and Conditions of Sale is authoritative and shall prevail in the event of any discrepancy with a translation of the General Terms and Conditions of Sale into another language.
